About these terms
By creating a FlipPilot account or otherwise using FlipPilot, you agree to these Terms. If you don’t agree, please don’t use FlipPilot.
Our Privacy Policy and Cookies Policy explain how we handle personal information and cookies. They are separate documents, but you should read them together with these Terms.
In these Terms, “FlipPilot” or the “service” means the FlipPilot website, web app and related emails and support. “Your content” means the information, text and photos you put into FlipPilot, together with the drafts generated for you.
Who can use FlipPilot
To use FlipPilot, you must:
- be at least 18 years old, and confirm this when you sign up;
- have the legal capacity to enter into a binding contract; and
- be located in the United States and Canada.
FlipPilot is designed for individual resellers. If we learn that an account belongs to someone who doesn’t meet these requirements, we may close it.
Your account
- One person per account. Each account is for one individual. Please don’t share your account or create accounts for others.
- Accurate information. Give us a valid email address that you control, and keep it up to date so you receive security and service notices.
- Keep your credentials secure. Use a strong password that you don’t use elsewhere, and keep it confidential.
- Activity on your account. You are responsible for activity that happens under your account, unless it results from our failure to protect it.
- Tell us about misuse. If you think someone has accessed your account without permission, change your password and contact support@adsgora.com right away.
What FlipPilot does
FlipPilot helps you keep an inventory of the items you resell, write listing drafts (with optional AI assistance), estimate fees, and record actual sales, costs and profit.
FlipPilot works only with the information you give it. You move listings to marketplaces yourself, by copying text or exporting a CSV file. FlipPilot never logs in to, posts to or scrapes any marketplace on your behalf, and it doesn’t check what is happening on any marketplace.
FlipPilot is independent and not affiliated with, endorsed by or sponsored by eBay, Poshmark, Depop, Mercari, Facebook Marketplace or any other marketplace. We use marketplace names only to describe formatting styles, and those names belong to their owners.
Early access and pricing
FlipPilot is currently in early access. That means it is still being built and improved, and:
- features may change, be limited (for example by daily AI quotas) or be discontinued;
- the service may sometimes be unavailable or contain bugs, and we don’t guarantee any particular level of uptime; and
- we may change how features work as we learn from users.
You can export your data at any time from Settings, so changes to the service don’t have to mean losing your records.
Pricing. FlipPilot is free during early access, and we don’t collect any payment information. We may introduce paid plans in the future. If we do, we will give you clear notice in advance, and you will be charged only if you explicitly agree to a paid plan. There are no automatic charges, and you will never be moved to a paid plan without your agreement.
Your content
You own your content. We don’t claim ownership of the item details, photos, drafts, notes or sales records you put into FlipPilot.
Permission you give us. So that we can run the service, you grant Atlookat a limited, worldwide, non-exclusive, royalty-free license to host, store, process, display back to you and transmit your content, including sending it to our AI provider when you request an AI draft, solely to provide and secure FlipPilot. We don’t use your content for advertising, and we don’t use it to train AI models.
This license ends when you delete the content or your account, except for residual copies in our providers’ encrypted backups, which are kept for a limited period before being overwritten, as explained in the Privacy Policy.
Your promise to us. You confirm that you own, or have the necessary rights to use, the photos and text you upload, and that using them in FlipPilot doesn’t violate anyone else’s rights or the law.
Keep your own copies. FlipPilot lets you export your data at any time. We take care to protect your data, but we recommend exporting important records periodically.
Your responsibilities as a seller
FlipPilot is a tool; you remain the seller. When you list and sell items, you are responsible for:
- Accurate listings: making sure your titles, descriptions, sizes, measurements, condition, prices and photos are truthful and not misleading;
- Disclosing defects: describing flaws, damage, wear, missing parts and anything else a buyer would reasonably want to know;
- Following the rules: complying with each marketplace’s rules and policies, and with consumer protection, tax, product safety and any other laws that apply to your sales;
- Lawful items only: not listing counterfeit, stolen, recalled, prohibited or otherwise illegal items; and
- Respecting privacy: not uploading photos that show identifiable people without their consent, or other people’s personal information.
AI suggestions
If AI suggestions are turned on, FlipPilot can draft listing text from the details and photos you provide. Please keep in mind:
- Suggestions can be wrong. AI output may be incomplete, inaccurate or unsuitable for a particular marketplace.
- Nothing is verified. FlipPilot and its AI never verify an item’s authenticity, condition, value, size or provenance. FlipPilot automatically removes some unverified claims (such as “authentic” or “vintage”) that you didn’t state, but this is a safeguard, not a guarantee.
- You review everything. You must review each draft and confirm the review before you can copy or export it. Regenerating a draft clears that confirmation.
- You are responsible for what you publish. You alone decide what to post and you are solely responsible for the final listing.
You can turn AI suggestions off at any time in Settings and write drafts by hand. How AI requests are processed is described in the Privacy Policy.
Fees, profit and presets
- Your numbers in, your numbers out. Fee estimates, profit and other figures are calculated only from the values you enter. If those values are wrong or incomplete, the results will be too.
- Presets are examples. Fee presets are editable starting points. They are not official, and they may not reflect any marketplace’s current fee schedule. Check each marketplace’s own fee information and adjust presets as needed.
- No advice. FlipPilot does not give tax, accounting, financial or legal advice. Talk to a qualified professional about your obligations, such as reporting income or collecting sales tax.
- No valuations. FlipPilot doesn’t appraise items, and we make no promises about what an item is worth, what it will sell for, or whether it will sell at all.
Acceptable use
To keep FlipPilot safe and working for everyone, you agree not to:
- scrape, crawl or bulk-extract data from the service;
- reverse engineer, decompile or disassemble the service, except to the extent applicable law expressly permits it;
- probe, scan or test the security of FlipPilot, or look for vulnerabilities, without our written permission;
- circumvent or try to circumvent quotas, rate limits, access controls or other technical limits;
- upload malware, viruses or any other harmful code;
- access the service through automated means or at a volume that places an excessive load on it;
- use FlipPilot to harass anyone, commit fraud, or infringe anyone’s intellectual property or other rights;
- resell, sublicense, white-label or offer the service to others as your own; or
- upload other people’s personal information without a lawful basis for doing so.
If you believe you have found a security issue, please report it privately to support@adsgora.com rather than testing it further.
Our intellectual property
The FlipPilot name, logo, design and software, and all related intellectual property rights, belong to Atlookat or its licensors. Apart from the limited right to use the service under these Terms, you don’t receive any rights in them. Please don’t use our name or logo in a way that suggests we endorse you.
Feedback. We welcome suggestions and ideas. If you send us feedback, you agree we may use it freely, without any obligation or payment to you.
Marketplaces and third parties
Marketplaces and other third-party websites or services you use alongside FlipPilot are not operated by us, and we aren’t responsible for them, their content, their availability or their decisions (for example, removing a listing or suspending an account). Your use of them is governed by their own terms and policies.
Privacy
Our handling of personal information is described in the Privacy Policy, and our use of cookies and browser storage in the Cookies Policy.
Suspension and termination
By you. You can stop using FlipPilot at any time. You can also delete your account in Settings (Settings → Delete account), which permanently deletes your data as described in the Privacy Policy.
By us. We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if your use creates a risk of harm to other users, to third parties or to FlipPilot. Where reasonable, we will give you notice and the reason first, and an opportunity to export your data, unless the law prohibits it or doing so would create a security risk.
When these Terms end, your right to use FlipPilot stops. Sections that by their nature should continue (such as those on intellectual property, disclaimers, limitation of liability, indemnity and disputes) continue to apply.
Disclaimers
To the maximum extent permitted by law, FlipPilot is provided “as is” and “as available”. We don’t make any warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the service will be uninterrupted, error-free or always available, or that AI suggestions, fee presets or calculations will be accurate or complete.
Some jurisdictions don’t allow certain warranties to be excluded. In that case, the exclusions above apply only to the extent the law allows.
Limitation of liability
To the maximum extent permitted by law:
- Atlookat will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any lost profits, lost revenue, lost sales or lost data, arising out of or relating to FlipPilot or these Terms; and
- our total liability for all claims relating to FlipPilot or these Terms is limited to the greater of (a) the amounts you paid us for FlipPilot in the 12 months before the event giving rise to the claim, or (b) USD $100.
These limits do not apply where the law prohibits them, including to liability for gross negligence, wilful misconduct, death or personal injury, or to any rights you have under consumer protection law that cannot be waived or limited.
Indemnity
To the extent permitted by applicable consumer law, you agree to indemnify Atlookat against claims, losses and reasonable costs (including reasonable legal fees) brought by third parties that arise from your content, your listings or sales, or your breach of these Terms. We will tell you promptly about any such claim.
Your consumer rights
Nothing in these Terms limits or excludes any rights you have under applicable consumer protection laws that cannot be waived or limited by contract. This includes, where they apply, Quebec’s Consumer Protection Act and Civil Code. If any part of these Terms conflicts with those rights, those rights prevail.
Governing law and disputes
Talk to us first. If you have a concern or dispute, please contact us at support@adsgora.com and describe the issue. We will try in good faith to resolve it informally within 30 days. Most problems can be solved this way.
Governing law. These Terms are governed by the laws of the place where Atlookat is established, without regard to conflict-of-laws rules. However, if the consumer protection law of the place where you live entitles you to the application of its laws or to bring proceedings in its courts, those laws and courts apply to the extent of that entitlement.
Courts. If a dispute isn’t resolved informally, either party may bring it before a court of competent jurisdiction, subject to the paragraph above.
Changes to these terms
We may update these Terms from time to time, for example when we add features or when the law changes. We will post the updated Terms on this page with a new “Last updated” date. If a change is material, we will notify you in advance by email or in the app before it takes effect.
If you keep using FlipPilot after the changes take effect, you accept the updated Terms. If you don’t agree with them, stop using FlipPilot and delete your account; you can export your data first.
General
- Entire agreement. These Terms, together with the Privacy Policy and Cookies Policy, are the entire agreement between you and us about FlipPilot.
- Severability. If any part of these Terms is found unenforceable, the rest stays in effect, and the unenforceable part is applied to the greatest extent the law allows.
- No waiver. If we don’t enforce a provision right away, that doesn’t mean we give up our right to enforce it later.
- Assignment. You may not transfer your rights or obligations under these Terms without our consent. We may assign these Terms as part of a merger, acquisition or sale of all or part of our business, and we will notify you if that happens.
- Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages of our service providers, internet failures, natural disasters or government action.
- Survival. Provisions that by their nature should survive the end of these Terms continue to apply after it.
- Language. These Terms are written in English. If we provide a translation, the English version prevails to the extent permitted by law. For users in Quebec: the parties have expressly required that this agreement and all related documents be drawn up in English. Les parties ont expressément exigé que la présente convention et tous les documents s’y rattachant soient rédigés en anglais.
